These Terms of Service ("Terms") govern your access to and use of the Taskflow Pro Ultimate website and platform (the "Service"), operated by Taskflow Pro Ultimate ("Taskflow Pro", "we", "us"). By accessing or using the Service, you agree to these Terms.

The Service is intended for business use by users who are at least 16 years old and authorized to act on behalf of their organization. If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts & responsibilities
- You are responsible for the accuracy of account information and for safeguarding credentials.
- You are responsible for all activity under your account and for your users' compliance with these Terms.
- Notify us promptly of any unauthorized use or security concern.
3. Acceptable use
You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) attempt to breach security, probe, or disrupt the Service; (c) reverse engineer except as permitted by law; (d) upload malware or unlawful content; (e) resell or provide the Service to third parties except as expressly permitted; or (f) exceed documented rate limits or otherwise impose an unreasonable load.
4. Your data
As between you and us, you retain all rights to the data your organization submits ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide and support the Service, subject to our Privacy Policy. Each organization's data is tenant-isolated, and AI features operate only on the requesting organization's own data.
5. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Taskflow Pro and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms; no other rights are granted.
6. Third-party services
The Service may interoperate with third-party products and integrations (including via the Model Context Protocol). Your use of those services is governed by their own terms, and we are not responsible for them.
7. Fees
Paid plans, if applicable, are billed as described at purchase or in an order form. Fees are non-refundable except as required by law or expressly stated. We may change pricing on prospective notice.
8. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. AI-assisted outputs may be inaccurate and should be reviewed before you rely on them.
9. Limitation of liability
To the maximum extent permitted by law, Taskflow Pro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim (or CAD $100 if no fees were paid).
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period, then delete it per our retention practices.
11. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario have exclusive jurisdiction, subject to any mandatory consumer protections in your jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with a revised "Last updated" date; continued use after changes take effect constitutes acceptance.
